MANAGEMENT TEAM

MontaVista Software was founded by James Ready an acknowledged pioneer in the off-the-shelf operating-systems business, with more than 25 years of experience in the embedded-software industry. While still at Ready Systems, he foresaw that Linux would become an important factor in the embedded market. The Ready Systems merger with Microtec Research and subsequent acquisition, in 1995, by Mentor Graphics afforded him the opportunity to pursue his vision. With the financial backing of Alloy Ventures, Inc. and other investors, Ready began quickly building an organization of embedded Linux software engineers. The result of his vision is MontaVista Linux.

James Ready - President, CEO
James Ready, with over 25 years of technical and entrepreneurial experience, is a recognized authority in the embedded systems and real-time software industry. Co-founder of Ready Systems, he pioneered the development of the first commercially viable, real-time operating system (RTOS) product - the VRTX real-time kernel. Ready Systems, founded in 1980, merged with Microtec Research in 1993, went public in 1994, and was acquired by Mentor Graphics in 1995. During this period, James served as Ready Systems' President, and as chief technical officer (CTO) at Microtec/Mentor. James founded MontaVista in 1999 to provide the Linux operating system to the embedded systems market, and to offer embedded-system expertise to the open source Linux community. Jim got his BA from University of Illinois at Urbana-Champaign in 1971 and his MA from the University of California, Berkeley in 1976.

Kelly Herrell Senior Vice President, Strategic Operations
Kelly is responsible for corporate business strategy at MontaVista with a focus on operationalizing growth opportunities. He has more than 15 years of management experience with high technology companies. Prior to joining MontaVista, Kelly was a senior executive at Cobalt Networks (formerly Nasdaq: COBT, later acquired by Sun), the leading maker of Linux-based server appliances. Previously, he was a senior executive at CacheFlow (Nasdaq: BCSI), the head of worldwide marketing for Oracles database products, and director of strategy for the large systems division of AT&T Global Information Solutions. Kelly graduated from Cornell University in New York with a masters degree in Business Administration (MBA).

Scott Jaffe Vice President, Business Development
Scott is responsible for worldwide business development at MontaVista Software. Scott has over 15 years of senior executive leadership experience for technology companies in the enterprise solution space. In addition has extensive experience in the financial industry. He has had global responsibilities with assignments located in both the United States and Europe which included Senior Vice President and Vice President roles managing direct and channel sales, business development, marketing, professional services, and operations. Prior to joining MontaVista he was previously employed with such companies as Sybase, Micro Decisionware, Dun & Bradstreet and J.P. Morgan. Scott has a BS in Industrial Management and Information Systems from Carnegie-Mellon University in Pittsburgh, Pennsylvania.

Kevin Morgan Vice President, Engineering
Kevin Morgan has 20 years of experience developing embedded and real-time computer systems for Hewlett-Packard Co. Experienced in operating systems and development, Kevin was a member of the HP 1000 computer software design team. While at Hewlett-Packard, he worked as an engineer, project manager and section manager spanning the development of five operating systems. As HP-UX Operating System Laboratory Manager, Kevin was responsible for overall HP-UX release planning, execution and delivery for Hewlett-Packard server computers. Kevin has been leading the MontaVista Software engineering team since joining the company in November 1999. Kevin obtained his BS in Computer Science from the University of California, Santa Barbara and earned his MS in Computer Science at the University of California, Berkeley.

    Jeff Romano - Vice President, Worldwide Professional Services
Jeff is responsible for professional services and education services globally for MontaVista Software. With over 14 years at software and professional services organizations, he has overseen large implementation projects for Global 1000 companies in the high-tech manufacturing and telecommunication industries, and ensured very high levels of customer satisfaction. Prior to MontaVista, Jeff was Vice President of Professional Services for Portal Software, growing their professional services organization in the Americas and Asia Pacific from 25 to 250 people and over $45 million in revenue. He also held several senior positions at
PeopleSoft, including Vice President of their Western Region consulting practice. Earlier in his career, Jeff was a consultant and project manager for both Price Waterhouse and Andersen Consulting. He holds a B.S. in Electrical Engineering from Cornell University, as well
as an M.S. in Industrial Engineering..

 
    Peder Ulander - Vice President, Marketing
As Vice President of Marketing, Peder has a global responsiblity for driving MontaVista's product and marketing strategies. Recognized as a leader in the Linux and Open Source industry, Peder has a dynamic reputation and a proven track record introducing award-winning products in new and emerging markets. Prior to joining MontaVista, Peder was the Sr. Director of Marketing at Sun Microsystems, responsible for defining the product and marketing strategies for a number of Sun's Linux initiatives including the Java Desktop System, the Cobalt line of appliances, Sun Ray ultra-thin client, and the StarOffice Productivity Suite. In addition to Sun, Peder has held a number of marketing positions at Cobalt Networks, Symantec Corporation and Apple Computer. Ulander studied Economics from Santa Clara University in Santa Clara, California.

 
Dave Warner Chief Financial Officer
With more than 15 years of experience at both software and hardware companies, Dave has held executive and management positions at several large public firms, including Electronics for Imaging, Sybase and Tandem Computers. Prior to joining MontaVista, Dave was vice president and chief financial officer (CFO) of The EC Company, a provider of business-to-business e-commerce services. While there he was responsible for corporate finance, legal affairs, and human resources. Dave earned a BS from University of California, Davis and completed his MBA from Unversity of California, Los Angeles.

    Jason B. Wacha
Vice President, Corporate Affairs; General Counsel; and Corporate Secretary
Jason supervises MontaVista Software’s domestic and worldwide legal and corporate policies and practices, and develops and implements the company’s intellectual property strategy. Jason also speaks nationally and internationally, lectures at law schools, and is a published author on open source licensing and the GPL. Prior to joining MontaVista, Jason was a Vice President and General Counsel for Advanced Data Exchange, an electronic document exchange company providing outsourced Internet EDI and XML services. Jason previously practiced law with Wilson Sonsini Goodrich & Rosati, P.C. (WSGR), where he was a member of the Corporate and Securities Group and the Life Sciences Group. At WSGR, Jason focused on technology licensing, financings, and mergers & acquisitions, and was responsible for over fifty public and privately held clients concentrated in the high technology and biotechnology arenas. Jason has degrees in economics and English from Stanford University, and a J.D. from the University of California, Davis, where he was an editor of the U.C. Davis Law Review.

 
Trent Winegar Vice President, Worldwide Sales
Trent is responsible for worldwide sales at MontaVista Software. Trent has over 20 years of experience in business development, marketing, and sales in several industries including telecommunications, software and professional services. Prior to joining MontaVista, he was a consultant to leading Fortune 500 companies, where he developed sales management strategies and business plans as well as helped establish corporate vision and direction for his clients. He has also been a vice president of Business development at Martin Marietta and an executive vice president, Business sales and services at US West Information Systems. Trent has a BA in Business Administration from Coe College in Cedar Rapids, Iowa.

    Hitoshi Arima - Vice President, Japan Sales
Hitoshi Arima is responsible for sales and operations of MontaVista in Japan. Hitoshi has nearly 16 years of real-time operating system experience, and he was named Auditor on the Advisory Board for Japan Embedded Linux Consortium and is one of the key members of the consortium. Recently, Hitoshi served as Managing Director of Japan Operations for Software Development Systems (SDSI), which was acquired by Integrated Systems in 1999. Prior to that he had worked in various executive and management positions, establishing Japanese offices with Wind River and Integrated Systems.

 
    Joe Gomula - Vice President, North America Sales
Joe Gomula is responsible for sales operations in N. America. Joe has over 23 years of experience in the embedded systems industry in a range of sales and marketing management positions. Prior to joining MontaVista, he was the Director of Western Area sales for Integrated Systems through their acquisition by Wind River. He has also been the Vice President of Worldwide sales for the Microtec Division of Mentor Graphics for 2 years and Director of the Americas for 2 years prior to that. He also spent 3 years as North America Sales Director for Wavtek Corporation and 9 years as Director of North America Sales at Applied Microsystems Corporation. Before that he held sales and marketing positions at Data I/O Corporation. Joe has a BA in Economics from the State University of New York at Potsdam and has also completed the AEA Executive Management course at Stanford University.

 
    Raymond Mak - Vice President, Asia Pacific
Raymond Mak manages MontaVista operations in the Asia Pacific region. Raymond has more than 14 years of experience managing IT business in Asia and he is responsible for sales and operations of MontaVista in Asia Pacific. Prior to joining MontaVista, Raymond was the Asia Pacific Vice President for Caldera International, Inc. where he managed the Unix and Linux server software sales through various channel partners. Raymond also spent nine years at Apple Computer prior to joining Caldera. Raymond has a B.Sc. degree in Computer Science from Queen Mary College, University of London.
